These Terms of Service ("Agreement") govern your use of the Uptal website and any related services (collectively, the "Service"). By using the Service, you agree to be bound by this Agreement. If you do not agree to these terms, please do not use the Service.

  1. Use of the Service

    Uptal provides self-recorded interview software that allows companies to screen candidates through artificial intelligence technology. You may use the Service only for lawful purposes and in accordance with this Agreement. You may not use the Service for any illegal or unauthorized purpose.

  2. Eligibility

    You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are using the Service on behalf of a company or organization, you represent and warrant that you are authorized to bind such entity to this Agreement.

  3. Privacy

    Uptal respects your privacy and is committed to protecting it. Our Privacy Policy, which is incorporated into this Agreement by reference, explains how we collect, use, and disclose information about you.

  4. Intellectual Property

    The Service, including all software, graphics, images, and text, and the selection and arrangement thereof, is owned by Uptal or its licensors and is protected by copyright and other intellectual property laws. You may not use any content of the Service without our prior written consent.

  5. Disclaimer of Warranties

    THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. UPTAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. UPTAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

  6. Limitation of Liability

    IN NO EVENT SHALL UPTAL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF UPTAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UPTAL'S LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE.

  7. Indemnification

    You agree to indemnify, defend, and hold Uptal harmless from any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service or your breach of this Agreement.

  8. Governing Law

    This Agreement shall be governed by and construed in accordance with the laws of Saudi Arabia, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or in connection with this Agreement shall be brought in the courts of Riyadh, Saudi Arabia.

  9. Modification

    Uptal reserves the right to modify this Agreement at any time. Your continued use of the Service after any such modification shall constitute your acceptance of the modified Agreement.

  10. Entire Agreement

    This Agreement, including the Privacy Policy, constitutes the entire agreement between you and Uptal with respect to the Service and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Uptal.

    In these Terms and Conditions:

    • "Uptal", "we", "our", or "us" refers to Uptal Company.
    • "Services" means the recruiting and talent management software services provided by Uptal.
    • "Website" means the website located at https://www.uptal.com/ and any related Uptal websites or applications.
    • "User", "you", or "your" refers to any individual or entity using the Services or Website.
  2. Eligibility

    By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a company or organization, you represent and warrant that you are authorized to bind such entity to these Terms.

  3. Use of Services

    You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

    • In any way that violates any applicable Saudi Arabian or international law or regulation.
    • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of our Services or Website, or which, as determined by us, may harm Uptal or users of our Services or Website, or expose them to liability.
    • In any manner that could disable, overburden, damage, or impair our Services or Website or interfere with any other party's use of our Services or Website, including their ability to engage in real-time activities.
  4. User Accounts

    To access and use certain features of our Services, you may need to register for an account. When you register for an account, you agree to:

    • Provide accurate, current, and complete information about yourself as prompted by the registration form.
    • Maintain and promptly update such information to keep it accurate, current, and complete.
    • Keep your login credentials, including your password, confidential and not disclose them to anyone else.
    • Be responsible for all activities that occur under your account.
  5. Payment

    Uptal may provide a free trial of our Services. After the trial period, users may choose to continue to use our Services by paying the applicable fees. By using our paid Services, you agree to pay all applicable fees and charges, including applicable taxes, and acknowledge that fees are generally non-refundable unless required by law.

  6. Prohibited Technical Activities

    You agree not to engage in any activity that compromises, interferes with, or attempts to circumvent the intended use, security, or operation of the Services or Website. Prohibited activities include, but are not limited to:

    • Unauthorized API Access: Accessing or attempting to access the Services or any application programming interface (API) using tools such as Postman, cURL, scripts, custom clients, browser extensions, or any other method not expressly authorized by Uptal.
    • Scraping and Data Harvesting: Downloading, extracting, exporting, mining, indexing, or otherwise collecting data from the Services or Website manually or through automated means, including bots, crawlers, spiders, or similar technologies.
    • Reverse Engineering: Attempting to decompile, disassemble, reverse engineer, or otherwise derive the source code, architecture, models, scoring logic, or algorithms used by Uptal, including its artificial intelligence or evaluation mechanisms.
    • Bypassing Security or Limits: Circumventing, disabling, or interfering with authentication, authorization, rate limits, usage quotas, monitoring, or any security or technical protection measures.
    • Unauthorized Security Testing: Performing penetration testing, vulnerability scanning, load testing, or similar security or stress testing without prior written approval from Uptal.

    Any such activity constitutes a material breach of these Terms and may also constitute a violation of applicable cybercrime, data protection, and intellectual property laws.

  7. Intellectual Property

    All content and materials provided on or through the Services or Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, algorithms, and user interface designs, are the property of Uptal or its licensors and are protected by Saudi Arabian and international copyright and intellectual property laws.

    Uptal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Website for your internal business purposes only. This license does not include any right to reproduce, modify, distribute, publicly display, or create derivative works from our content except as expressly permitted in writing by Uptal.

  8. Privacy and PDPL Compliance

    Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and disclose personal data. By using the Services, you consent to our processing of your personal data as described in the Privacy Policy and in compliance with the Saudi Personal Data Protection Law (PDPL), as applicable.

  9. Data Custodianship and Rights

    Important: Under PDPL, personal data is subject to data subject rights and lawful processing obligations. These Terms are intended to clarify rights and responsibilities; they do not transfer ownership of personal data.

    9.1 Candidate Data and Custodianship

    As between the parties and in accordance with the PDPL:

    • Personal Data relating to Candidates is not owned by Customers, and Customers do not acquire any ownership, property, or proprietary rights in Candidate Personal Data by virtue of using the Services.
    • Candidates retain their rights as data subjects under applicable data protection laws.
    • Uptal acts as a lawful custodian of Candidate Personal Data and processes such data strictly in accordance with applicable law, our Privacy Policy, and documented service purposes.

    Nothing in these Terms shall be interpreted as transferring ownership of Personal Data to any party.

    9.2 Platform Outputs and Derived Data

    Unless explicitly stated otherwise in a written agreement, Uptal retains all rights, title, and interest in platform-generated outputs and Derived Data, including AI-generated assessments, scores, evaluations, reports, structured insights, usage data, system logs, aggregated and anonymized data, and improvements derived from platform usage. Such Derived Data may be used to operate, secure, and improve the Services.

    9.3 License to Access

    Customers are granted a limited, non-exclusive, non-transferable, revocable license to access data and outputs solely through the Services and strictly for internal business purposes. No right is granted to export, resell, sublicense, scrape, or reuse data outside the Services unless expressly authorized in writing by Uptal.

  10. Usage Data and Analytics

    Uptal may collect and process technical and usage data to operate, secure, troubleshoot, analyze, and improve the platform. This may include traffic and usage analytics (e.g., Google Analytics), session recordings and interaction data (e.g., Microsoft Clarity or similar tools), and device/browser/IP and performance metrics. Such data is processed in accordance with PDPL and the Privacy Policy.

  11. Suspension and Termination

    We may suspend or terminate your access to the Services or Website, in whole or in part, at any time, with or without notice, if: (i) you violate these Terms; (ii) your use poses a security, legal, or operational risk; or (iii) required by law or a regulatory authority. Upon termination, your right to use the Services will immediately cease, and certain provisions of these Terms that by their nature should survive will remain in effect.

  12. Disclaimer of Warranties

    THE SERVICES AND WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, UPTAL EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

    Uptal does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components.

  13. Limitation of Liability

    To the maximum extent permitted by law, in no event shall Uptal be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Services or Website.

    To the extent permitted by law, Uptal's total aggregate liability arising out of or relating to these Terms or your use of the Services shall not exceed the amount you have paid to Uptal for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

  14. Indemnification

    You agree to indemnify, defend, and hold harmless Uptal, its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services or Website, your violation of these Terms, or your violation of any rights of another person or entity.

  15. Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these Terms or your use of the Services or Website shall be filed only in the courts located in Riyadh, Saudi Arabia, and you hereby consent and submit to the personal jurisdiction of such courts.

  16. Modifications to These Terms

    Uptal reserves the right to modify or update these Terms from time to time. When we do, we will post the updated Terms on our Website. Your continued use of the Services after any such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

Affiliate Agreement

This Affiliate Agreement (the "Agreement") is made and entered into by and between Uptal ("Uptal") and you ("Affiliate"), effective as of the date you sign up to become an affiliate of Uptal.

  1. Agreement Overview

    The purpose of this Agreement is to establish a working relationship between Uptal and the Affiliate. Under this Agreement, the Affiliate will be paid a commission for each referral of a new customer to Uptal.

  2. Affiliate Requirements

    To become an affiliate of Uptal, the Affiliate must:

    • Agree to the terms and conditions of this Agreement.
    • Have an active account with Uptal.
    • Promote Uptal on the Affiliate's website, blog, or social media channels.
    • Commission: For each new customer referred through the Affiliate's unique referral link who completes a purchase, the Affiliate will receive a commission of 10% of the total purchase price.
  3. Payment

    Uptal will pay commissions to the Affiliate on a monthly basis. The commission payments will be made through the Affiliate's Uptal account.

  4. Promotion Restrictions

    The Affiliate agrees not to engage in any of the following activities:

    • Spamming or unsolicited emailing of Uptal referral links.
    • Promoting Uptal in a way that is deceptive or misleading.
    • Using Uptal's branding or intellectual property without Uptal's permission.
    • Term and Termination: This Agreement will remain in effect until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
  5. Confidentiality

    The Affiliate agrees to keep confidential any information provided by Uptal that is not publicly available.

  6. Governing Law

    This Agreement will be governed by and construed in accordance with the laws of Saudi Arabia.

  7. Limitation of Liability

    Uptal will not be liable to the Affiliate for any special, indirect, or consequential damages arising out of or in connection with this Agreement.

  8. Entire Agreement

    This Agreement constitutes the entire agreement between Uptal and the Affiliate and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

    By signing up to become an affiliate of Uptal, the Affiliate agrees to be bound by the terms and conditions of this Agreement.
